In order to ensure the timely disposal of Form MGT-14 in the office of ROC and considering the penal provisions of the Companies Act, 2013, the Ministry vide its General Circular 28/2014 dated 9th July, 2014 has clarified that form MGT-14 will be processed and taken on record using the Straight Through Process (STP) mode.

However, form MGT-14 filed for change of Name, change of Object, resolution for further issue of capital and conversion of companies will be processed by the ROC for approval.

This circular will be effective from 21st July, 2014.
